- Participation is sought for lawful educational, research, and community purposes;
- No intent exists to infiltrate, monitor, investigate, disrupt, or act adversely toward NACLC or its Members;
- All affiliations relevant to participation have been fully disclosed;
- No agency, employer, or third party has directed or induced the Applicant to engage with NACLC for undisclosed purposes.
The Applicant acknowledges that these declarations are material representations relied upon by NACLC in granting membership.

NACLC Membership Terms of Service (Private Members Association Framework)
1. Private Membership Basis
NACLC operates as a private, members-only association. Access to materials, discussions, and resources is conditional upon acceptance of these Terms and the truthfulness of Member declarations.
2. Contractual Nature of Membership
Membership constitutes a private contractual relationship between NACLC and the Member. The Member acknowledges that NACLC relies upon the accuracy and completeness of all representations made at the time of application.
3. Duty of Full Disclosure
The Member warrants that all information provided is true, complete, and not misleading.
A material non-disclosure includes, but is not limited to:
- Concealment of investigative, enforcement, intelligence, or monitoring intent;
- Failure to disclose relevant affiliations where such affiliation creates a reasonable perception of conflict of purpose;
- Misrepresentation of identity, role, or purpose.
The duty of disclosure is ongoing and survives admission to membership.
4. Prohibited Conduct
The Member must not:
- Engage in covert, undisclosed, or adversarial activities;
- Collect or use community information for external enforcement, intelligence, or commercial exploitation without consent;
- Misrepresent identity, authority, or purpose;
- Act in a manner that causes harm to NACLC or its Members, including, but not limited to ‘doxxing’ and harassment.
5. Indemnity and Liability
The Member agrees to indemnify and hold harmless NACLC from any loss, liability, cost, damage, or expense arising from:
- Breach of these Terms;
- Misrepresentation or non-disclosure of material facts;
- Use of NACLC in a manner inconsistent with its stated purpose.
This indemnity extends to reasonable legal costs, administrative costs, and costs associated with investigation and remediation.
Limitation: This clause applies only to the Member and parties legally connected through agency or direct instruction. It does not purport to bind unrelated third parties.
6. Liquidated Damages (Pre-Estimated Loss)
Where a material breach involving intentional misrepresentation or non-disclosure results in demonstrable harm to NACLC, the Member agrees that:
A pre-estimated sum of damages may be applied, reflecting administrative, reputational, and operational impact.
Such sum must represent a genuine pre-estimate of loss and will be assessed in accordance with applicable law. It is not intended as a penalty.
7. Arbitration Agreement
Any dispute arising out of or in connection with membership, including breach, misrepresentation, or indemnity claims, shall be resolved by binding arbitration.
- Seat of Arbitration: Sydney, Australia (or another nominated jurisdiction if required)
- Governing Rules: UNCITRAL Arbitration Rules (or equivalent recognised framework)
- Language: English
- Number of Arbitrators: One, unless otherwise agreed
The arbitral award shall be final and binding on the parties.
8. Governing Law
This agreement is governed by the laws of the location in which the Member has made the above undertaking, unless otherwise specified in writing.
9. Termination of Membership
NACLC may suspend or terminate membership at its discretion where a breach is identified or reasonably suspected.
Termination does not extinguish accrued rights or obligations, including indemnity and dispute resolution provisions.
10. Privacy and Confidentiality
Members agree to maintain confidentiality of discussions and materials unless expressly authorised for disclosure.
11. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force.
12. Acceptance
By applying for membership and participating in NACLC, the Member confirms acceptance of these Terms and acknowledges that membership is conditional upon truthful disclosure and ongoing good faith participation.
